1. About These Terms
These Terms of Service (“Terms”) govern your use of https://www.jumixa.com and the commercial relationship between Jumixa FZC, a company registered in the Sharjah Research, Technology and Innovation Park Free Zone (SRTIP), United Arab Emirates, and any individual or organization that purchases or uses our software products, SaaS services, applications, or development services.
By accessing our website or using our services, you agree to these Terms.
Where a separate agreement, proposal, invoice, or license agreement conflicts with these Terms, the specific agreement shall prevail.
2. Our Services
Jumixa provides technology products and services, including but not limited to:
- Software as a Service (SaaS) platforms
- Custom software development
- ERP and invoice systems
- AI-powered solutions
- Web applications
- Mobile applications
- Desktop applications
- API development and integrations
- Automation systems
- Hosting and deployment services
- Technical consulting and support
The exact scope, deliverables, pricing, and timelines are defined in writing before work begins.
3. Payment Terms
Unless otherwise agreed in writing, the following payment terms apply:
- Custom Development Projects: A 50% non-refundable deposit is required before work begins. The remaining balance is payable before final delivery or according to agreed milestones.
- Milestone Payments: Larger projects may be split into milestones. Each milestone must be paid before work continues to the next phase.
- Software Products: One-time software licenses must be paid in full before activation, delivery, or access is granted.
- Subscriptions (SaaS): Subscription services are billed in advance on a monthly or annual basis and automatically renew unless cancelled before the next billing cycle.
- Invoices: All invoices are payable within 7 calendar days unless stated otherwise.
- Late Payments: We reserve the right to suspend services, restrict access, delay delivery, or terminate accounts for overdue payments. Late fees may apply where permitted by law.
- Taxes: All prices are exclusive of VAT or other applicable taxes unless stated otherwise. Customers are responsible for applicable taxes.
- Currency: All payments are processed in AED (United Arab Emirates Dirhams) unless otherwise specified.
- Payment Methods: We accept bank transfers, online payment gateways, and other methods listed on our website or invoice.
- Additional Work: Any work outside the agreed scope will be quoted separately and must be approved before execution.
- Ownership Transfer: Full ownership and rights to deliverables transfer only after full payment is received.
4. Delivery Terms
Project timelines begin once all required materials are provided, including:
- Content
- Branding assets
- Access credentials
- Approvals
Delays in providing required inputs will extend delivery timelines accordingly.
5. Licensing and Usage Rights
Unless explicitly stated otherwise:
- Jumixa grants a non-exclusive, non-transferable license to use software products.
- Customers may not resell, redistribute, or reverse engineer our software.
- Ownership of proprietary frameworks, libraries, and internal tools remains with Jumixa.
- Open-source components remain subject to their respective licenses.
6. Intellectual Property
Upon full payment:
- Custom deliverables may be transferred to the client as agreed.
- Jumixa retains ownership of reusable code, frameworks, and internal systems.
- No rights are granted until payment is completed in full.
7. Third-Party Services
Our services may integrate with third-party providers such as:
- Cloud hosting providers
- Payment processors
- AI services
- APIs and external platforms
We are not responsible for:
- Third-party outages
- Pricing changes
- Policy changes
- Data loss caused by third parties
8. Support and Maintenance
Support is provided according to the selected plan:
- Bug fixes may be included for a limited warranty period
- Feature requests are treated as new work
- Support hours are defined per service plan
- Emergency support may incur additional charges
9. Acceptable Use
You agree not to use our services for:
- Illegal activities
- Cybercrime or hacking
- Spam or malicious activity
- Infringement of intellectual property rights
- Distribution of harmful or illegal content
We may suspend accounts violating these rules.
10. Customer Responsibilities
Customers are responsible for:
- Providing accurate project information
- Securing login credentials
- Backing up their data
- Reviewing deliverables in a timely manner
- Ensuring lawful use of the software
11. Availability
We aim to provide reliable services but do not guarantee uninterrupted availability. Downtime may occur due to:
- Maintenance
- Updates
- Third-party service issues
- Technical failures
12. Limitation of Liability
To the maximum extent permitted by UAE law:
- We are not liable for indirect or consequential losses
- We are not liable for loss of profits, data, or business opportunities
- Total liability is limited to the amount paid for the service in question
Nothing excludes liability that cannot legally be excluded under UAE law.
13. Refund Policy
Unless otherwise agreed:
- Deposits are non-refundable once work begins
- Software licenses are non-refundable after delivery or activation
- Subscription fees are non-refundable for active billing periods
14. Cancellation
Projects may be cancelled in writing.
If work has started:
- Completed work must be paid for
- Deposits remain non-refundable
- Access to work may be restricted until payment is completed
15. Privacy
Use of our services is also governed by our Privacy Policy, which explains how we collect and process personal data.
16. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes means acceptance of the updated Terms.
17. Governing Law
These Terms are governed by the laws of the United Arab Emirates.
Any disputes shall be handled in the competent courts of the Sharjah Research, Technology and Innovation Park Free Zone (SRTIP) or other UAE courts where applicable.
